Terms of Service

These terms govern your use of the RxAgent website and, where applicable, the RxAgent service. RxAgent is operated by RxAgent Inc. ("RxAgent", "we", "us"). By using our website or service, you agree to these terms.

1. Who we are and what these terms cover

RxAgent provides software that helps Canadian pharmacies automate prescription intake. These terms apply to (a) anyone who visits our website or joins our waitlist, and (b) pharmacies and authorized users who access the RxAgent service. Use of the service may also be governed by a separate written agreement between RxAgent and the pharmacy, which prevails over these terms in the event of a conflict.

2. Pre-launch and waitlist

The RxAgent service is being offered to a limited group of pilot pharmacies. Joining the waitlist does not guarantee access, pricing, or availability. We may contact you about the pilot program and product. Features, timing, and pricing described on our website are subject to change.

3. Acceptable use

You agree not to misuse the website or service. In particular, you will not: attempt to gain unauthorized access; interfere with or disrupt the service; reverse engineer or copy the software except as permitted by law; or use the service in violation of any applicable law, professional standard, or third-party right.

4. The service is a tool, not a substitute for professional judgment

RxAgent assists with prescription intake by extracting and structuring information for review. It does not practice pharmacy, dispense medication, or provide medical or clinical advice. A licensed pharmacist is responsible for reviewing, verifying, and approving all information before it is relied upon or entered into any pharmacy system. RxAgent is designed so that no prescription is filed without human approval.

5. Pharmacy responsibilities

  • Ensuring it has the authority and any required consents to submit information, including personal health information, to the service.
  • Maintaining the confidentiality of account credentials and controlling access by its staff.
  • Reviewing and approving extracted prescription data through a qualified professional.
  • Complying with all laws and professional obligations applicable to its practice.

6. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. For personal health information processed through the service, the pharmacy is the health information custodian and RxAgent acts as its service provider.

7. Intellectual property

RxAgent and its licensors own all rights in the website, the service, and related software, branding, and content. These terms do not transfer any ownership to you. You may not use RxAgent's name or marks without our prior written permission.

8. Disclaimers

The website and, during any pilot, the service are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the website or service will be uninterrupted, error-free, or that extracted data will be complete or accurate, which is why pharmacist review is required.

9. Limitation of liability

To the fullest extent permitted by law, RxAgent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the website or service. Nothing in these terms limits liability that cannot be limited under applicable law.

10. Changes to the service and these terms

We may modify or discontinue the website or service, and we may update these terms from time to time. We will post the updated terms here and revise the "Last updated" date. Continued use after changes take effect constitutes acceptance.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. The courts located in Ontario will have jurisdiction over any dispute, subject to any mandatory consumer protections in your province.
